The iFeelPixel SOFTWARE is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. 
The iFeelPixel SOFTWARE is licensed, not sold.

1. GRANT OF LICENSE.  This EULA grants you the following rights:
   · iFeelPixel SOFTWARE.  You may install, use, access, display, run, or otherwise interact with ("RUN") one copy of the iFeelPixel SOFTWARE, on a single computer, workstation, terminal, handheld PC, pager, "smart phone," or other digital electronic device ("COMPUTER").  The primary user of the COMPUTER on which the iFeelPixel SOFTWARE is installed may make a second copy for his or her exclusive use on a portable computer.  You may also copy, post and otherwise distribute the download package containing the iFeelPixel SOFTWARE; provided that you keep the package intact and do not delete or revise any portion of such package.
   · Storage/Network Use.  You may also store or install a copy of the iFeelPixel SOFTWARE on a storage device, such as a network server, used only to RUN the iFeelPixel SOFTWARE on your other COMPUTERS over an internal network; however, you must acquire and dedicate a license for each separate COMPUTER on which the iFeelPixel SOFTWARE is RUN from the storage device.  A license for the iFeelPixel SOFTWARE may not be shared or used concurrently on different COMPUTERS.
   · Reservation of Rights.  All rights not expressly granted are reserved by the software publisher.  
   · Accessing Services Using the iFeelPixel SOFTWARE.  Your use of any service accessible using the iFeelPixel SOFTWARE is not covered by this EULA and may be governed by separate terms of use, conditions or notices.

2. RESTRICTIONS. 
   · You must maintain all copyright notices on all copies of the iFeelPixel SOFTWARE.
   · Limitations of Reverse Engineering, Decompilation and Disassembly.  You may not reverse engineer, decompile, or disassemble the iFeelPixel SOFTWARE, except and only to the extent that such activity is permitted by applicable law notwithstanding this limitation.
   · Rental. You may not rent or lease or lend the iFeelPixel SOFTWARE.  
   · Software Transfer.  You may permanently transfer all of your rights under this EULA one time, provided you retain no copies, you transfer all of the iFeelPixel SOFTWARE (including all component parts, the media and printed materials, any upgrades, this EULA and, if applicable, the Certificate of Authenticity), you do not receive any payment or other compensation for transferring the iFeelPixel SOFTWARE and the recipient agrees to the terms of this EULA.  If the iFeelPixel SOFTWARE portion is an upgrade, any transfer must include all prior versions of the iFeelPixel SOFTWARE.

3. TERMINATION.  Without prejudice to any other rights, the software publisher may terminate this EULA if you fail to comply with the terms and conditions of this EULA.  The software publisher may terminate this EULA by offering you a superceding EULA for the iFeelPixel SOFTWARE or any replacement or modified version of or upgrade to the iFeelPixel SOFTWARE and conditioning your continued use of the iFeelPixel SOFTWARE or such replacement, modified or upgraded version on your acceptance of such superceding EULA.  In addition, the software publisher may terminate this EULA by notifying you that your continued use of the iFeelPixel SOFTWARE is prohibited.  In the event that THE iFeelPixel SOFTWARE PUBLISHER terminates this EULA, you must immediately stop using the iFeelPixel SOFTWARE and destroy all copies of the iFeelPixel SOFTWARE and all of its component parts.

4. COPYRIGHT.  All title and copyrights in and to the iFeelPixel SOFTWARE (including but not limited to any images, photographs, animations, video, audio, music, text and "applets," incorporated into the iFeelPixel SOFTWARE), the accompanying printed materials, and any copies of the iFeelPixel SOFTWARE, are owned by the software publisher or its suppliers.  All title and intellectual property rights in and to the content which may be accessed through use of the iFeelPixel SOFTWARE is the property of the respective content owner and may be protected by applicable copyright or other intellectual property laws and treaties.  This EULA grants you no rights to use such content.  If this iFeelPixel SOFTWARE contains documentation which is provided only in electronic form, you may print one copy of such electronic documentation.  You may not copy the printed materials accompanying the iFeelPixel SOFTWARE.

5. EXPORT RESTRICTIONS. You agree that you will not export or re-export the iFeelPixel SOFTWARE, any part thereof, or any process or service that is the direct product of the iFeelPixel SOFTWARE (the foregoing collectively referred to as the "Restricted Components"), to any country, person or entity subject to E.U. export restrictions.  You specifically agree not to export or re-export any of the Restricted Components (i) to any country to which the E.U. has embargoed or restricted the export of goods or services, from any national of any such country, wherever located, who intends to transmit or transport the Restricted Components back to such country; (ii) to any person or entity who you know or have reason to know will utilize the Restricted Components in the design, development or production of nuclear, chemical or biological weapons; or (iii) to any person or entity who has been prohibited from participating in E.U. export transactions by any federal agency of the E.U. government.  You warrant and represent that neither the E.U. Commerce Department, Bureau of Export Administration nor any other E.U. federal agency has suspended, revoked or denied your export privileges.

6. DISCLAIMER OF WARRANTIES.  THE iFeelPixel SOFTWARE PUBLISHER AND ITS SUPPLIERS PROVIDE THE iFeelPixel SOFTWARE "AS IS" AND WITH ALL FAULTS, AND HEREBY DISCLAIM ALL OTHER WARRANTIES AND CONDITIONS, EITHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING BUT NOT LIMITED TO ANY (IF ANY) IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, OF FITNESS FOR A PARTICULAR PURPOSE, OF LACK OF VIRUSES, AND OF LACK OF NEGLIGENCE OR LACK OF WORKMANLIKE EFFORT. 7. EXCLUSION OF ALL DAMAGES.  TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE iFeelPixel SOFTWARE PUBLISHER OR ITS SUPPLIERS BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, DIRECT, INDIRECT, SPECIAL, PUNITIVE, OR OTHER DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR ANY INJURY TO PERSON OR PROPERTY, DAMAGES FOR LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, FOR LOSS OF PRIVACY FOR FAILURE TO MEET ANY DUTY INCLUDING OF GOOD FAITH OR OF REASONABLE CARE, FOR NEGLIGENCE, AND FOR ANY PECUNIARY OR OTHER LOSS WHATSOEVER) ARISING OUT OF OR IN ANY WAY RELATED TO THE USE OF OR INABILITY TO USE THE iFeelPixel SOFTWARE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IFTHE iFeelPixel SOFTWARE PUBLISHER OR ANY SUPPLIER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.  THIS EXCLUSION OF DAMAGES SHALL BE EFFECTIVE EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

8. LIMITATION AND RELEASE OF LIABILITY.  To the full extent allowed by law, YOU HEREBY RELEASE THE iFeelPixel SOFTWARE PUBLISHER AND ITS SUPPLIERS FROM ANY AND ALL LIABILITY ARISING FROM OR RELATED TO ALL CLAIMS CONCERNING THE iFeelPixel SOFTWARE OR ITS USE.  If you do not wish to accept the iFeelPixel SOFTWARE under the terms of this EULA, do not install the iFeelPixel SOFTWARE.  No refund will be made because the iFeelPixel SOFTWARE was provided to you at no charge.

9. GOVERNING LAW.  If you acquired the iFeelPixel SOFTWARE in  Europa, the laws of the french country will apply to this contract.  If you acquired this iFeelPixel SOFTWARE outside of Europa, then local law may apply.

10.  FAULT TOLERANCE.  THIS iFeelPixel SOFTWARE IS NOT FAULT TOLERANT AND IS NOT DESIGNED, MANUFACTURED, OR INTENDED FOR USE OR RESALE AS ONLINE CONTROL EQUIPMENT IN HAZARDOUS ENVIRONMENTS REQUIRING FAIL-SAFE PERFORMANCE, SUCH AS IN THE OPERATION OF NUCLEAR FACILITIES, AIRCRAFT NAVIGATION OR COMMUNICATION SYSTEMS, AIR TRAFFIC CONTROL, DIRECT LIFE SUPPORT MACHINES, OR WEAPONS SYSTEMS, IN WHICH THE FAILURE OF THIS iFeelPixel SOFTWARE COULD LEAD DIRECTLY TO DEATH, PERSONAL INJURY, OR SEVERE PHYSICAL OR ENVIRONMENTAL DAMAGE.

END-USER LICENSE AGREEMENT - Immersion Web ActiveX Control:

IMPORTANT - READ CAREFULLY:  This End-User License Agreement ("End-User Agreement") is a legal agreement between you and Immersion Corporation for "Immersion Web ActiveX Control" software products, which include both computer software and may include associated media, printed materials and online or electronic documentation ("Licensed Software"). By installing, copying or otherwise using the Licensed Software, you agree to be bound by the terms of this End-User Agreement. If you do not agree to these terms, do not install or use the Licensed Software.

TERMS OF AGREEMENT

1.0 LICENSE GRANT

1.1 Immersion Corporation ("Immersion") grants to you ("Licensee") a worldwide, non-transferable, non-exclusive, royalty-free, limited license to use a copy of the Software Product. Other than the limited rights expressly granted in this License, Licensee acquires no right, title or interest in or to the Licensed Software, and except as provided in Section 1.2 below, Licensee shall have no right to copy or distribute the Licensed Software. Immersion owns all modifications, enhancements and bug fixes made by or for Licensee to the Licensed Software. Licensee shall retain all rights to any software that is independently developed by Licensee without use of the Licensed Software. In the event that Licensee creates improvements, enhancements, or bug fixes to the Licensed Software, Licensee agrees to promptly transfer ownership of these improvements, enhancements, and bug fixes to Immersion at no charge.

1.2 Licensee may create one back-up copy of the Licensed Software for archival purposes.

1.3 Licensee may not sell, lease, assign, sublicense or otherwise transfer the Licensed Software, or the rights granted pursuant to this End-User Agreement, either in whole or in part. Licensee agrees not to attempt to decompile, reverse engineer, disassemble, or otherwise reduce the Licensed Software to human-readable form.

1.4 Immersion is under no obligation to provide maintenance or support for the Licensed Software, or to notify Licensee of upgrades to the Licensed Software. If Immersion, in its sole discretion, makes upgrades to the Licensed Software generally available, use of such upgrades by Licensee will be subject to the terms of this License, or such other license terms as Immersion may choose to impose. Licensee agrees to immediately destroy all copies of older versions of the Licensed Software if and when Immersion provides upgrades to the Licensed Software to Licensee.

2.0 COPYRIGHTS AND TRADEMARKS

2.1 Licensee shall reproduce and apply any copyright or other proprietary rights notices included on or embedded in Licensed Software to any copies of Licensed Software made by Licensee.

2.2 Licensee acknowledges that Immersion owns all trademarks, logos, icons, look and feel and other protectable aspects of the Licensed Software (collectively "Immersion Marks") and agrees to: (i) not use Immersion Marks in web pages or other marketing materials, except as may be authorized by Immersion; (ii) follow the Immersion Trademark Guidelines (available from Immersion upon request); and (iii) assign to Immersion any rights acquired by Licensee in any Immersion Marks.

3.0 FEES

Use of the Licensed Software in accordance with the terms of this License shall be at no charge to Licensee. Immersion reserves the right to charge for future versions or upgrades of the Licensed Software, if any, that it may choose to distribute.

4.0 TERM AND TERMINATION

4.1 This License shall commence on the date Licensee accepts these terms by downloading the Licensed Software, and terminate immediately upon written notice by Immersion.

4.2 Upon termination of this License, use of all Licensed Software by Licensee shall be immediately discontinued, all copies of Licensed Software shall be destroyed by Licensee, and the License granted hereunder shall terminate.

5.0 DISCLAIMER OF WARRANTY

5.1 Licensed Software is provided "AS IS" and without any warranty of any kind, and Licensee accepts all risks and liabilities associated with its use of Licensed Software. In no event will Immersion be responsible for any bugs, problems, or any loss of data, work, or time caused as a result of using the Licensed Software.

5.2 IMMERSION DOES NOT MAKE AND HEREBY DISCLAIMS ANY EXPRESS OR IMPLIED WARRANTIES RELATING TO THE LICENSED SOFTWARE, INCLUDING BUT NOT LIMITED TO, WARRANTIES OF NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OR ANY WARRANTIES THAT MIGHT ARISE FROM A COURSE OF DEALING, USAGE OR TRADE PRACTICE. SOME STATES DO NOT ALLOW LIMITATIONS ON SUCH WARRANTIES, SO SUCH LIMITATIONS MAY NOT APPLY TO LICENSEE.

6.0 LIMITATION OF LIABILITY

6.1 IN NO EVENT WILL IMMERSION BE LIABLE FOR ANY LOST REVENUES, DATA, OR PROFITS, OR DIRECT, INDIRECT, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES, ARISING FROM ANY CLAIM UNDER THE TERMS OF THIS AGREEMENT OR FROM LICENSEE'S USE OF THE LICENSED SOFTWARE, REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, STRICT PRODUCT LIABILITY OR OTHERWISE, EVEN IF IMMERSION HAS BEEN ADVISED OF THE POSSIBILITY OR PROBABILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES UNDER CERTAIN CIRCUMSTANCES, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO LICENSEE.

7.0 EXPORT

Licensee shall not export, re-export or transfer, whether directly or indirectly, Licensed Software or derivatives thereof, to any person or company who is a legal resident or is controlled by a legal resident of any proscribed country listed in the U.S. Export Administration Regulations (or any equivalent thereof) unless properly authorized by the U.S. Government.

8.0 U.S. GOVERNMENT RIGHTS

The Licensed Software is "commercial computer software" developed exclusively at private expense. In accordance with 48 CFR 12.212 or 48 CFR 227.7202, as applicable, use, duplication or disclosure by the Government is subject to restrictions set forth in this Agreement.

9.0 ENTIRE AGREEMENT

This End-User Agreement is the entire agreement between you and Immersion relating to the Licensed Software, and supercedes all prior written or oral statements, promises, representations and agreements. It may be modified only by a writing executed by an authorized representative of Immersion.

10.0 GOVERNING LAW

Any legal proceedings arising out of or relating to this License will be governed by California law, excluding choice of law rules, and shall be venued in the state or federal courts located within Santa Clara County or the Northern District of California, respectively. Licensee agrees to submit to the jurisdiction of such courts for purposes of resolving such disputes.

11.0 NO IMPLIED LICENSE

Except as specifically provided elsewhere in this Agreement, nothing herein shall be interpreted as granting any license, express or implied, under Immersion's patents, trademarks, copyrights or trade secrets.

12.0  ENTIRE AGREEMENT

This Agreement is the entire agreement between you and Immersion relating to the Licensed Software, and supercedes all prior written or oral statements, promises, representations and agreements. It may be modified only by a writing executed by an authorized representative of Immersion.
